About these terms
These terms govern the Escendant apps, websites and related services (the Service). Escendant helps people capture, build, organise, explore and share memory records called Engrams.
The Service is provided by Escendant Ltd, company number 13914686, of Office 6 Town Hall, 86 Watling Street East, Towcester, United Kingdom, NN12 6BS (Escendant, we, us). By creating an account, you agree to these terms. Our Privacy Policy explains how we use personal data. Feature and purchase notices form part of these terms where they apply.

Eligibility and age
You must be at least 13 to create your own account. If you are under 18, a parent or guardian should review these terms with you and give permission where required. We may ask for proportionate evidence of age, identity or authority.
An authorised adult may create a managed account for a child under 13, an adult who cannot manage their own account, or a deceased family member. The manager must give accurate information, have an appropriate basis for acting and use only the permissions provided. Under-18 accounts cannot create Weblinks, make Engrams Public, or use voice or likeness simulation.
The initial Service is offered to people in the United Kingdom. We do not promise that it is lawful or available elsewhere.

Accounts and roles
Keep your account details accurate and your credentials secure. Tell security@escendant.ai promptly about suspected unauthorised access. You are responsible for activity you authorise.
Product roles may include owner, manager, co-manager, contributor, trustee and delegate. “Trustee” is an umbrella product term: the named capability profile shown and accepted in the Service determines the actual permissions. A role does not create guardianship, a legal trust, a power of attorney, executorship, administration, ownership or other authority outside Escendant. Role-holders act under their own identity and we may pause a disputed or consequential action while checking identity or authority.

Engrams, visibility and making content Public
Each Engram has one owner who controls its editing. Other people may contribute or be interviewed, but do not become joint owners or editors merely by participating. Completing an Engram for reading is called publishing it; publishing does not change who can see it.
Engrams are Private by default. An eligible owner may share with selected people, create a Weblink, or make an Engram Public. A Weblink is an unlisted bearer link: anyone who receives it may open and forward it while enabled. Public content can be discovered and read by anyone. Enabling public sharing does not make every Engram Public; the eligible owner must choose it for each Engram. Under-18 accounts cannot make content Public.
Before making an Engram Public, you must control it and have the rights and authority needed for its text, media and other elements. A family relationship or manager, co-manager, trustee or delegate role does not by itself provide publication authority. Take particular care with children, sensitive information, adults without capacity and people unable to respond.
Public content may be searched, discovered, previewed, excerpted, recommended and indexed by search engines. Public status does not certify that a memory is complete, objective or accurate. Anyone may view, link, quote, screenshot, download, cache, archive or discuss it. Public access does not transfer ownership or permit unlawful use, but Escendant cannot control copies made elsewhere.
While an Engram is Public, you give Escendant a non-exclusive, worldwide, royalty-free and revocable licence to host, store, reproduce, format, display, communicate, index, preview and excerpt it, and make technical or accessibility adaptations reasonably needed to operate, secure and promote that Public Engram. You keep ownership. This licence does not let us sell the Engram as a standalone work or use it to train a general-purpose AI model.
An eligible owner can edit, stop making Public or delete through supported controls. This stops new display and discovery on Escendant-controlled surfaces after processing, but cannot recall downstream copies, caches, search indexes or archives. We may investigate reports and label, reduce discovery, restrict, refuse, unpublish, preserve or remove content where reasonably necessary for safety, rights or law. Reports and challenges may be sent to complaints@escendant.ai; privacy and rights requests may be sent to privacy@escendant.ai.

Your content
You keep your rights in content you provide, subject to other people's rights. You give us a worldwide, non-exclusive, royalty-free licence to host, copy, format, analyse, generate from, display and transmit it only as reasonably needed to provide and secure the Service, follow your sharing choices, comply with law and enforce these terms.
If you use the legacy service, you also instruct us and grant an immediate, purpose-limited licence to preserve, back up, secure, restore, migrate format, display or transmit under your visibility choices, and export your content. That licence continues after death and binds successors where law permits. It does not transfer ownership, override rights you did not hold, or permit new publication, promotion, sale, general-model training or simulation. The Digital Legacy and Trustee Policy contains the complete rule.
You must have the rights and authority needed for what you upload, record, generate and share. Respect privacy, confidentiality, copyright, performers' rights, trade marks, and voice and likeness rights. Managing or paying for an archive does not make another person's material yours. Our licences end when the content is no longer reasonably needed after lawful deletion, subject to the surviving legacy instruction, backups, legal records and copies outside our control.

AI-assisted features
AI may transcribe, analyse, organise, write, search, suggest information, generate or edit media, and answer questions about permitted Engrams. Escendant Chat speaks about an archive subject; it is not that person and does not express their consciousness, wishes or advice.
Chat follows the same role and Engram visibility permissions as direct reading. It does not edit Engrams or widen access. Sharing a Chat answer, screenshot or transcript does not grant its recipient access to the underlying archive or sources.
AI output may be wrong, biased, incomplete, anachronistic or upsetting. Check important output against original sources. We may use and change approved AI providers or routes for different tasks. We do not use private memories to train general-purpose AI models unless we first explain the separate use and obtain an explicit opt-in. See our AI Transparency Statement.

Generated voice, likeness and media
The Service can generate and edit images, video, speech, avatars and other media. Do not pass generated or materially altered output off as an original record or evidence, remove a disclosure shown by Escendant, or use it to deceive, exploit, harass or infringe rights.
Face and voice simulation is an optional adult feature controlled by a separate opt-in. You must have authority to use the source material and represented person's likeness or voice. Accepting these terms is not consent to simulation. See our Voice, Likeness and Biometric Data Policy.

Time capsules and exports
A time capsule schedules a future release. It is not a will, deed, escrow service or guarantee of delivery. Technical failure, account status, safety, disputes or authority checks may delay or prevent release. Keep another copy of anything irreplaceable.
You may request an export of available account and Engram data. The first export in a rolling 30-day period is free; another export in that period may cost credits based on size, and a short processing backstop may apply. The app shows the cost and timing before confirmation. An export may not reproduce every presentation, external service or copy held by someone else. A fee does not apply to a valid data-protection access request where the law prohibits it.

Acceptable use and safety
Follow our Content and Acceptable Use Policy. Do not use the Service unlawfully, infringe rights, impersonate or deceive, harass people, expose private information, evade safeguards, or create exploitative or illegal material. Never upload child sexual abuse material or use the Service to groom or exploit a child.
Users can report content and block other users. We may investigate and proportionately label, restrict, remove or preserve content, limit features, suspend accounts or make lawful reports. We may act without advance notice where needed for safety, security or law. You may challenge a material decision at complaints@escendant.ai.

Managed accounts, death and continuity
Our Digital Legacy and Trustee Policy is incorporated into these terms whenever a user appoints or accepts a Trustee or delegate profile, creates an archive about someone already deceased, dies, or an account enters Protected Legacy or restricted preservation. That policy governs those specialist matters; mandatory law and the rest of these terms continue to apply.
A Death Reporter may submit evidence but receives no account control. A delegate-form Trustee may receive only the named platform permissions shown and directly accepted. A permitted successor receives fresh permissions from Escendant after verification and acceptance—not estate property or external legal authority. An appointment, family relationship, former power of attorney or death report does not transfer the account or prove executorship.
We review death reports manually. Verification means that we are reasonably satisfied on the available information; no particular document is always required, and inactivity alone is not proof. After verified death we may revoke the deceased user's credentials, preserve the existing state and activate an accepted profile. At low volume these controls may be applied through recorded manual account administration. If no continuity-capable delegate is active, Escendant restricts the account to preservation: existing visibility normally continues, but no new discretionary editing, publication, role change or deletion occurs. Escendant is not executor, legal trustee, fiduciary or probate arbiter.
An archive created about someone already deceased is controlled by its living manager, not by the deceased subject. The manager must hold or be able lawfully to use the relevant content and rights. Credible estate, copyright, confidentiality, privacy or safety claims may lead to review, redaction or restriction.

Plans, subscriptions and credits
The Service may include a free plan, paid monthly or yearly subscriptions, and credit top-ups. Before purchase, Apple shows the price, billing period and renewal terms; the app shows included features, storage or credits and relevant limits. Subaccounts may use the managing account's plan. Care-home or other organisation-managed accounts may have separate arrangements and may not be able to buy through the app.
App purchases are processed by Apple. We do not receive full card details. Subscriptions renew only as shown before purchase. Cancel through Apple subscription settings; cancellation normally stops the next renewal and access continues until the paid period ends. Deleting an Escendant account does not cancel an Apple subscription.
Credits permit use of eligible credit-priced functions. They are not money, do not earn interest and cannot be sold or transferred unless we expressly allow it. Purchased credits do not disappear merely because a subscription ends. We may reverse credits linked to a refund, reversal, duplicate purchase or fraud. Apple handles payment refunds, but contact support@escendant.ai about a failed Service or missing entitlement.
Verified death stops or flags renewal for review. Restricted dormant preservation does not require continuing subscription payment. New creation, AI use or material storage growth by an authorised living person may require that person's own plan or credits. We do not withhold a permitted export merely because an account is dormant or unpaid.

Changes and availability
We may change features and future prices for technical, safety, legal or commercial reasons. We will give reasonable notice of a materially adverse change where practicable and preserve mandatory cancellation and consumer rights.
We provide the Service with reasonable care and skill but do not promise uninterrupted, error-free or permanent availability. Restricted legacy preservation means no automatic deletion merely because death occurred; it is not a guarantee of perpetual storage. Keep independent copies of irreplaceable material.

Deletion, suspension and closure
You may request account deletion and reverse the request during the 30-day grace period. After that, deletion or de-identification begins, subject to processing time, backups, legal duties, safety records, disputes and legal holds. Deleting an account may remove time capsules, role appointments and personalised voice or avatar data. A legacy deletion request is accepted only from a person whose accepted platform profile or verified legal authority covers that action.
We may restrict or suspend access where reasonably necessary for safety, security, rights or law, normally giving a reason and challenge route where appropriate. A conflict holds only the disputed action where safe. If we close a paid or preservation Service, we will give reasonable notice and a practical export opportunity where practicable, and provide any refund required by law.

Our responsibility
Nothing in these terms excludes liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or your mandatory consumer rights. If we breach these terms, we are responsible for foreseeable loss caused by that breach or our failure to use reasonable care and skill. We are not responsible for unforeseeable loss or business loss arising from consumer use.

Consumer rights
UK consumer law requires services to be provided with reasonable care and skill and digital content to be of satisfactory quality, fit for purpose and as described. Remedies may include repeat performance, repair, replacement, restored credits, a price reduction or refund. Nothing in these terms limits those rights.
Distance contracts may carry a 14-day cancellation right. If you expressly request a paid service to begin during that period, a proportionate charge may be due if you cancel. Immediate digital content can be supplied during that period only after the legally required express consent and acknowledgement about loss of the cancellation right. Apple provides the applicable purchase confirmation and cancellation or refund controls. Contact support@escendant.ai if those controls do not resolve a Service problem. Complaints and law
Email complaints@escendant.ai. We handle complaints according to their nature. Our Privacy Policy explains the specific process for data-protection complaints.
These terms are governed by the law of England and Wales. Courts in England and Wales have jurisdiction, but consumers in Scotland or Northern Ireland retain mandatory protections and may use their local courts.

General terms
App licence. We give you a personal, limited, non-exclusive, non-transferable and revocable licence to use the Escendant app on Apple-branded devices you own or control, subject to these terms and Apple's usage rules. The agreement is between you and Escendant, not Apple. Escendant is responsible for the app, maintenance, support, product claims and intellectual-property claims. Apple has no support obligation and is a third-party beneficiary entitled to enforce this paragraph. If the app fails to meet an applicable warranty, you may notify Apple for any refund of the app purchase price; to the maximum extent the law permits, Apple has no other warranty obligation. You confirm that you are not in a country subject to a US Government embargo or designated as supporting terrorism and are not on a US Government prohibited-party list.
Clauses intended to operate after death or closure—including content rights, preservation instructions, legacy roles, safety, disputes, liability and export—continue for as long as needed for their purpose. We may transfer this agreement as part of a reorganisation or sale where this does not reduce your mandatory rights. You may transfer account control only through supported handover or legacy controls, or with our agreement. If one term is unenforceable, the rest continue. A delay in enforcement is not a waiver.
We may update these terms for legal, safety, technical or Service reasons. We will show the updated date, give reasonable notice of materially adverse changes and seek agreement where required.
